Terms of Service
Effective date: 2026-11-01
Version: v1.0
1. Introduction
These Terms of Service (“Terms”) govern access to and use of Heraldly (the “Service”), operated by AZWAUL LP, a limited partnership (LP) registered in Ontario, Canada, with its registered office at 1025 King Street East, Unit 107 #1697, Cambridge, ON N3H 3P5 (the “Company”).
Heraldly is an online service for publishing and scheduling content on social networks, organizing it into campaigns, and measuring its results.
By accessing the Service or creating an account, the User acknowledges having read these Terms and agrees to be bound by them. If the User acts on behalf of a business or organization, the User represents that they have the authority to bind it to these Terms.
2. Definitions
- Service: the Heraldly platform, accessible on the web, including its features, short links and associated applications.
- User: any person who accesses the Service or creates an account.
- Account: the space created by a User upon registration, which holds the subscription and one or more Organizations.
- Organization: a workspace within an Account, usually representing one brand or client, with its own connected accounts, members, content and reports.
- Member: a User invited to an Organization with a role (such as Owner, Admin, Editor, Contributor, Approver or Viewer).
- Connected Account: a social-network profile, page or channel that a User has authorized Heraldly to access.
- Platform: a social network the Service publishes to, such as LinkedIn, YouTube, Facebook, Instagram or TikTok.
- Content: everything the User creates, uploads or schedules through the Service, including text, images, videos, links and comments.
- Subscription: the plan subscribed to (Solo, Studio, Agency), which determines the features and limits available.
3. Acceptance and Modification of Terms
3.1 Acceptance
The User accepts these Terms by creating an account or by continuing to use the Service after an update to these Terms.
3.2 Modifications
The Company may modify these Terms. Users will be notified by email or within the Service at least thirty (30) days before the changes take effect. Continued use of the Service after that date constitutes acceptance. A User who disagrees may close their account in accordance with Section 15.
4. Description of the Service
Heraldly offers, among others, the following features:
- Publishing and scheduling of text posts, images, carousels, videos and short videos to the User’s Connected Accounts, with a calendar covering all Organizations.
- Campaigns grouping posts across Platforms, with reports comparing results at fixed ages (such as one day, seven days and thirty days after publication).
- Statistics collected from the Platforms and normalized across them.
- Tracked short links with campaign parameters, and click measurement.
- Team collaboration: Organizations, Members and roles, and an optional approval workflow before publishing.
- History import of posts already published on Connected Accounts.
- Media library for images and videos.
Available features vary with the Subscription. The Company may evolve the Service’s features.
4.1 Beta
Before its public opening, the Service may be offered as a beta. During the beta, features may change, be limited or be withdrawn, and the Service is provided without any availability commitment.
5. Registration and Account
5.1 Account Creation
The User must be at least 18 years old (or the age of majority where they live). The User creates an account with a valid email address and password, or through a supported sign-in provider, and agrees to keep their information accurate.
5.2 Account Security
The User is responsible for keeping their login credentials confidential and is encouraged to enable two-factor authentication. Any use of the account is deemed to be made by its holder. The User must notify the Company without delay of any unauthorized use.
5.3 Organizations and Members
The Account owner is responsible for the Members they invite and the roles they grant. Each Member acts within the permissions of their role. Whether an Organization requires approval before publishing is set by its administrators.
5.4 Suspension
The Company may suspend or restrict an account in the event of a breach of these Terms, suspicious activity or non-payment, after notifying the User except in an emergency.
6. Connected Accounts and Platforms
6.1 Authorization
By connecting a social account, the User authorizes Heraldly to access it with the permissions shown by the Platform, to publish the Content that the User or the Organization’s Members schedule, and to read its statistics. The User may disconnect a Connected Account at any time in Heraldly or from the Platform’s settings.
6.2 Platform Terms
The User remains bound by the terms of each Platform they publish to and is responsible for complying with them, including the YouTube Terms of Service, the Meta Terms and Instagram Terms of Use, the TikTok Terms of Service and the LinkedIn User Agreement. By connecting a YouTube channel, the User agrees to be bound by the YouTube Terms of Service.
6.3 No Affiliation
Heraldly is an independent service. It is not affiliated with, endorsed or sponsored by LinkedIn, Google, YouTube, Meta, Instagram, TikTok or any other Platform. Their names and trademarks belong to their respective owners.
6.4 Platform Dependence
The Service depends on the interfaces that Platforms make available. A Platform may change or withdraw a feature, impose limits (such as a daily number of uploads), review the content sent, publish it privately, or refuse it. The Company is not responsible for these decisions, for the availability of the Platforms, or for actions a Platform takes on the User’s account. When a publication fails, the Service informs the User; it does not guarantee that a post is published at the exact time scheduled.
7. Content
7.1 Ownership
The User retains all rights in their Content. The Company claims no ownership over it.
7.2 License Granted to the Company
The User grants the Company a non-exclusive, worldwide license, for the duration of their use of the Service, to host, store, reproduce, adapt (for example, resize or transcode a video to a Platform’s format), display and transmit the Content solely to provide the Service, including sending it to the Platforms the User selects.
7.3 User Responsibility
The User is solely responsible for their Content and for its publication. The User warrants that they hold all the rights needed (including for music, images, trademarks and the likeness of people shown) and that the Content complies with the law and with the Platforms’ rules, including rules on disclosing paid partnerships and commercial content.
7.4 Scheduled Publication
A scheduled post is published automatically at the chosen time without any further action. Where an Organization uses the approval workflow, publication follows the approvals given within it. The User remains responsible for the posts scheduled and approved in their Organizations.
8. Acceptable Use
The User agrees not to use the Service to:
- publish illegal, hateful, harassing, deceptive or sexually explicit content, or content that infringes the rights of others;
- send spam, artificially inflate engagement, or coordinate inauthentic behavior;
- use short links to spread malware or phishing, or to hide the destination of a link in a deceptive way;
- circumvent the limits or rules of a Platform or of the Service;
- reverse engineer the Service, access it by automated means without authorization, or compromise its security or performance;
- resell or sublicense access to the Service without the Company’s written consent.
The Company has no obligation to monitor Content but may refuse to publish, disable a short link, or suspend an account that breaches this Section.
9. Subscriptions and Payment
9.1 Plans and Limits
Plans (Solo, Studio, Agency) differ in the number of Organizations, Members, features and media storage, as described on the pricing page. Connected Accounts are unlimited, subject to fair use: an Organization is meant to represent one brand or client, and a technical ceiling per Organization may apply. Additional Organizations may be purchased.
9.2 Free Trial
A free trial may be offered. At the end of the trial, the Subscription starts only if the User has chosen a plan and a payment method.
9.3 Reseller and Merchant of Record
Our order process is conducted by our online reseller Paddle.com (Paddle.com Market Limited and its affiliates, “Paddle”). Paddle is the Merchant of Record for all orders: Paddle sells the Subscription to the User, collects payment, issues the invoice or receipt, and calculates, collects and remits the applicable sales taxes. Purchases are also governed by Paddle’s Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms), which the User accepts at checkout. Paddle provides customer service for billing enquiries and handles refunds.
9.4 Billing
Billing is recurring (monthly or yearly) and is charged automatically by Paddle using the payment method provided at checkout. Prices are set in US dollars; the final price, including applicable taxes and in the currency shown at checkout, is displayed before the User confirms the order.
9.5 Renewal and Cancellation
Subscriptions renew automatically at the end of each billing period. The User may cancel at any time from their account settings; cancellation takes effect at the end of the current period.
9.6 Refunds
The User may request a refund within fourteen (14) days of the transaction date. After this period, transactions are non-refundable, except where applicable law provides otherwise. Paddle processes refunds: the User may request one through the link in their Paddle receipt or by writing to legal@heraldlyapp.com, in which case the Company forwards the request to Paddle.
9.7 Late Payment
If a payment fails, the Company notifies the User by email. If it is not resolved within a reasonable time, the Company may suspend publishing, then access to the Service.
10. Media Storage
Media files count towards the storage quota of the plan. Original files are deleted ninety (90) days after the last post using them has been published; the published posts, their thumbnails and their statistics remain available. The User is responsible for keeping their own copy of their original files.
11. Short Links
Short links created with the Service redirect to the destination chosen by the User and record clicks as described in the Privacy Policy. They remain active while the Organization that created them exists, and stop redirecting once it is deleted. The Company may disable a short link that breaches Section 8.
12. Personal Data
The processing of personal data is described in the Privacy Policy at https://heraldlyapp.com/privacy, which forms an integral part of these Terms. For the personal data contained in the Content and in short-link click data, the User acts as the data controller and the Company as a processor on the User’s behalf.
13. Intellectual Property
13.1 Company Rights
The Service, including its source code, design, trademarks (including “Heraldly”) and content (excluding the User’s Content), is the exclusive property of the Company or its licensors.
13.2 License to Use
The Company grants the User a non-exclusive, non-transferable and revocable license to use the Service for the duration of their Subscription, in accordance with these Terms.
13.3 Feedback
Suggestions the User sends about the Service may be used freely by the Company, without obligation to the User.
14. Limitation of Liability
14.1 Service Provision
The Service is provided “as is” and “as available.” The Company does not warrant that it will be free from errors or interruptions, that every scheduled post will be published, or that statistics provided by the Platforms are complete or accurate.
14.2 Exclusion of Liability
To the maximum extent permitted by applicable law, the Company is not liable for:
- indirect, incidental, special or consequential damages;
- loss of data, revenue, audience, reach or profits;
- the Content the User publishes and its consequences;
- acts, omissions, decisions or unavailability of third parties, including the Platforms and the payment, hosting, storage and email providers.
14.3 Liability Cap
The Company’s total liability under these Terms is limited to the amount paid by the User during the twelve (12) months preceding the event giving rise to the claim.
14.4 Indemnification
The User agrees to indemnify the Company against third-party claims arising from the User’s Content or from the User’s breach of these Terms or of a Platform’s terms.
15. Availability, Maintenance and Termination
15.1 Availability and Maintenance
The Company endeavors to keep the Service available but makes no service-level commitment unless agreed in writing. The Service may be interrupted for maintenance, announced in advance where possible. The Company is not liable for unavailability caused by force majeure, including failures of Internet infrastructure or of third-party providers and Platforms.
15.2 By the User
The User may cancel their Subscription and delete their account at any time from their settings. Deletion is described in the Privacy Policy and on the Data deletion page. Content already published on a Platform stays there.
15.3 By the Company
The Company may terminate or suspend an account:
- after a formal notice of a breach of these Terms that has remained without effect for fifteen (15) days;
- immediately in the event of a serious breach (illegal content or activity, compromise of the Service’s security);
- in the event of persistent non-payment after notification.
15.4 Consequences
Upon termination, access to the Service ends, scheduled posts are no longer published, and short links stop redirecting once the Organization is deleted. The User should export their data beforehand.
16. Governing Law and Disputes
16.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without prejudice to the mandatory consumer-protection and data-protection rules of the User’s country of residence.
16.2 Amicable Resolution
In the event of a dispute, the parties will seek an amicable resolution before taking legal action. The User may submit a complaint to legal@heraldlyapp.com.
16.3 Jurisdiction
Failing amicable resolution, the courts of the Province of Ontario have jurisdiction, subject to any mandatory jurisdiction available to the User under applicable law.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Company regarding the Service.
17.2 Severability
If any provision of these Terms is found void or unenforceable, the other provisions remain in full force.
17.3 Assignment
The Company may assign these Terms in connection with a merger, acquisition or asset transfer, provided an equivalent level of protection is maintained. The User may not assign their rights without the Company’s written consent.
17.4 Language
These Terms are written in English and translated into other languages for convenience. In the event of a discrepancy, the English version prevails, except where applicable law requires a version in another language to prevail.
